HerHouse Ambassador Terms and Agreement

This Ambassador Agreement (the "Agreement") is made and entered into between Wild Heart Enterprises LLC (the "Company"), and the Ambassador ("Ambassador") as of the date of acceptance of this Agreement by the Ambassador (the "Effective Date").

Appointment. Company hereby appoints Ambassador as a non-exclusive ambassador to promote the Company's home sharing platform app called HerHouse (the "App") to potential users. Ambassador agrees to actively promote the App and engage in marketing activities to attract new users to the App.

Commission. As compensation for Ambassador's marketing efforts, Company agrees to pay Ambassador a 15% commission for any purchases on the HerHouse.co website using Ambassador's unique referral code or link, (the "Commission"). The Commission amount and payment terms shall be as mutually agreed upon by the Parties and documented in writing, or as stated in the Company's official Affiliate Program documentation.

Last Touch Rule. In the event that multiple Ambassadors refer the same user to the App, the Commission shall be credited to the most recent Ambassador whose referral code or link was used by the user during the sign-up process, and who meets the requirements set forth in this Agreement.

Code Rule. Ambassador shall be eligible to receive a Commission for purchases provided that the user makes the purchase using the Ambassador’s referral code. If the user does not use the Ambassador’s referral link, Ambassador shall not be eligible to receive a Commission for that purchase.

Active Membership. Ambassador shall maintain an active free or paid membership with the App and shall actively participate in the App community. Ambassador shall not engage in any activities that may harm the reputation or goodwill of the App or the Company, including but not limited to spamming, misleading advertising, or fraudulent activities.

Termination. Either Party may terminate this Agreement at any time, with or without cause, upon written notice to the other Party. Upon termination, Ambassador shall cease using any promotional materials, referral codes, or links provided by the Company, and shall return or destroy any confidential information of the Company in Ambassador's possession.

Confidentiality. Ambassador acknowledges that during the term of this Agreement, Ambassador may have access to certain confidential information of the Company, including but not limited to marketing strategies, customer lists, and trade secrets. Ambassador agrees to keep such information confidential and not to disclose or use such information for any purpose other than the performance of Ambassador's obligations under this Agreement.

Independent Contractor. Ambassador's relationship with the Company is that of an independent contractor, and nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the Parties. Ambassador shall be solely responsible for paying any taxes, including but not limited to income taxes, social security taxes, and unemployment taxes, arising from Ambassador's performance under this Agreement.

Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated or headquartered, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this Agreement shall be resolved exclusively by the courts of such jurisdiction.

Entire Agreement. This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral, relating to the subject matter hereof.

By accepting this Agreement, Ambassador acknowledges that Ambassador has read, understood, and agrees to be bound by the terms and conditions set forth herein
